KOH Scholars — Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you (“you”) and KOH Investment Group LLC, doing business as KOH Scholars (“KOH Scholars,” “we,” “us,” or “our”). These Terms govern your access to and use of the KOH Scholars Platform, programs, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

Definitions 

  • Content” means text content, notifications, emails, videos, images and audio, any other content or any combination thereof, in each case, that we make publicly available or which we permit you to access through the Services, whether created by us, you, or third party,

  • KOH Scholars Platform” means our Website and related applications, including without limitation any current or future mobile applications or third-party applications we use to provide the Services.

  • Student” means a high school student who begins the process of enrollment for and/or receives mentorship, guidance, and/or tutoring through our Services, or uses our Services in any other way, or has an account with access to do so.

  • Student Work” means work summaries, testimonials, project descriptions, personal statements, and all other academic work relating to research and college applications created by the Student through the Services.

  • Website” means https://koh-scholars.myshopify.com/

PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE, WHICH REQUIRES THAT YOU AND KOH SCHOLARS ARBITRATE CERTAIN CLAIMS BY BINDING, INDIVIDUAL ARBITRATION INSTEAD OF GOING TO COURT, AND WAIVE CLASS ACTION CLAIMS.

 


 

1. Eligibility & Parent/Guardian Consent

By using the Services, you represent and warrant that:

  • You are at least 18 years old, or

  • You are at least 13 years old and using the Services under the supervision and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

Parents/guardians are responsible for the activities of any minor using the Services.

KOH Scholars provides educational coaching and mentorship programs to high school students and does not confer academic credit, degree standing, or guaranteed admissions outcomes.

 


 

2. Description of Services

KOH Scholars provides live, one-on-one virtual coaching and mentorship sessions designed to help students strengthen academic development, personal projects, and competitiveness for selective college admissions.

Services may include:

  • Student intake and goal-setting consultations

  • Scheduled one-on-one mentoring sessions

  • Educational support, academic enrichment, or project guidance

  • Feedback, accountability, and strategy development

We do not guarantee any specific results, including admissions offers, scholarships, internships, GPA improvement, or publication outcomes.

 


 

3. Accounts, Registration & Communications

To participate in the Services, you may be required to create an account and provide accurate and complete information. You agree to:

  • Maintain the confidentiality of your login credentials

  • Notify us immediately of unauthorized account access

  • Keep your contact and billing information current

By using the Services, you consent to receive communication from us, including program updates and administrative notifications. You may unsubscribe from marketing messages at any time.

You may be asked to do a New Student Call with us before you officially are enrolled in our Services. We reserve the right to decline to provide access to our Services to you at our sole discretion.

4. Payments, Fees & Refunds

Enrollment in mentoring programs requires payment of the applicable fees presented at the time of registration.

  • Fees must be paid before session scheduling unless otherwise agreed in writing

  • Payment obligations apply whether or not the student attends scheduled sessions

  • Refunds, credits, or rescheduling policies are governed by the program-specific terms provided at enrollment

We reserve the right to update pricing or fees at any time, with notice, prior to purchase.

 


 

5. Scheduling, Attendance & Cancellations

Sessions are scheduled in coordination with the assigned mentor or coach using the instruments provided through the Platform (e.g. Calendly).

  • Missed or late-cancelled sessions may be forfeited. A session cancelled or rescheduled within 24 hours of its originally scheduled time may be considered forfeited.

  • Repeated absences may result in program suspension or dismissal without refund

  • We reserve the right to reschedule sessions due to mentor availability or unforeseen circumstances

All communication and sessions are conducted virtually unless expressly stated otherwise.

 


 

6. Student Conduct & Appropriate Use

You agree to engage respectfully and professionally with mentors, staff, and peers.

Prohibited conduct includes:

  • Harassment, discrimination, or abusive behavior

  • Academic dishonesty or seeking prohibited assistance

  • Sharing inappropriate, harmful, or unsafe content

  • Attempting to communicate with mentors outside approved channels  

Violation of conduct expectations may result in dismissal from the program without refund.

 


 

7. Intellectual Property & Student Work

Unless otherwise noted, all Content contained in our Services, including mentor-supplied materials, is the property of us and/or our affiliates or licensors, and is protected from unauthorized copying and dissemination by United States copyright law, trademark law, international conventions and other intellectual property laws. You shall not, and shall not permit any person or entity to: (i) alter, enhance, or make derivative works of our Services or any Content available on other platforms; or (ii) reverse engineer, reverse assemble or decompile, or otherwise attempt to derive source code from our Services. Except as otherwise provided herein, none of this Content may be used, sold, copied, reproduced, distributed, republished, downloaded, modified, displayed, posted, or transmitted in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording, or otherwise, without our express prior written permission. Subject to the limitations herein, permission is hereby granted to the extent necessary to lawfully access and use the Services for your personal, educational, noncommercial use only. 

Unless otherwise stated in writing:

  • KOH Scholars does not claim ownership over Student Work created through the Services.

  • You hereby grant KOH Scholars a limited, non-exclusive license to use anonymized Student Work for marketing or for purposes of improving our Services.


 


 

8. Third-Party Tools & Technology

Sessions may utilize third-party platforms (such as video conferencing or messaging tools). You acknowledge that:

  • KOH Scholars is not responsible for the content of any of these third-party platforms. Any third-party platform accessed from our Services is independent from us, and we have no control over the content of that platform. In addition, a link to any third-party platform does not imply that we endorse or accept any responsibility for the content or use of such platform. Use of any third-party platform is subject to its terms of service and privacy policy.

  • KOH Scholars is not responsible for platform outages, data issues, or technical malfunctions of such third-party platforms.

 


 

9. Disclaimer of Warranties


WE MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SERVICES. THE SERVICES AND ALL CONTENT THEREIN ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS, WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, KOH SCHOLARS, ITS AFFILIATES, AND THEIR SERVICE PROVIDERS AND LICENSORS DISCLAIM ANY AND ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, ARISING BY STATUTE, CUSTOM, COURSE OF DEALING, COURSE OF PERFORMANCE OR IN ANY OTHER WAY, WITH RESPECT TO THE SERVICES AND ANY PRODUCTS OR SERVICES AVAILABLE OR PROMOTED THROUGH THE SERVICES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, KOH SCHOLARS, ITS AFFILIATES, AND THEIR SERVICE PROVIDERS AND LICENSORS DISCLAIM ALL REPRESENTATIONS AND WARRANTIES (A) OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE; (B) RELATING TO THE SECURITY OF THIS SITE; (C) THAT THE CONTENT OF THIS SITE IS ACCURATE, COMPLETE OR CURRENT; OR (D) THAT THIS SITE WILL OPERATE SECURELY OR WITHOUT INTERRUPTION OR ERROR. 10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAWS, KOH SCHOLARS AND KOH INVESTMENT GROUP, LLC, ON BEHALF OF OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS AND SERVICE PROVIDERS, EXCLUDE AND DISCLAIM LIABILITY FOR ANY LOSSES AND EXPENSES OF WHATEVER NATURE AND HOWSOEVER ARISING INCLUDING, WITHOUT LIMITATION, ANY DIRECT, INDIRECT, GENERAL, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES; LOSS OF USE; LOSS OF DATA; LOSS CAUSED BY A VIRUS; LOSS OF INCOME OR PROFIT; LOSS OF OR DAMAGE TO PROPERTY; CLAIMS OF THIRD PARTIES; OR OTHER LOSSES OF ANY KIND OR CHARACTER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THIS SITE OR THE PRODUCTS AND SERVICES IT OFFERS. YOU ASSUME TOTAL RESPONSIBILITY FOR ESTABLISHING SUCH PROCEDURES FOR DATA BACK UP AND VIRUS CHECKING AS YOU CONSIDER NECESSARY. THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER BASIS. IF ANY PART OF THIS LIMITATION ON LIABILITY IS FOUND TO BE INVALID OR UNENFORCEABLE FOR ANY REASON, THEN THE AGGREGATE LIABILITY OF THE RELEASED PARTIES FOR LIABILITIES THAT OTHERWISE WOULD HAVE BEEN LIMITED SHALL NOT EXCEED THE AMOUNT PAID FOR THE SERVICES GIVING RISE TO THE CLAIM. YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM COUNTRY TO COUNTRY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN KINDS OF LIMITATIONS OR EXCLUSIONS OF LIABILITY, SO THE LIMITATIONS AND EXCLUSIONS SET OUT IN THESE TERMS MAY NOT APPLY TO YOU. OTHER JURISDICTIONS ALLOW LIMITATIONS AND EXCLUSIONS SUBJECT TO CERTAIN CONDITIONS. IN SUCH A CASE THE LIMITATIONS AND EXCLUSIONS SET OUT IN THESE TERMS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY THE LAWS OF SUCH APPLICABLE JURISDICTIONS. YOUR STATUTORY RIGHTS AS A CONSUMER, IF ANY, ARE NOT AFFECTED BY THESE PROVISIONS, AND WE DO NOT SEEK TO EXCLUDE OR LIMIT LIABILITY FOR FRAUDULENT MISREPRESENTATION. 


 


 

11. Termination

We may suspend or terminate your access to the Services if:

  • You violate these Terms

  • You engage in harmful or unsafe behavior

  • Your project is outside of our field of expertise 

  • We do not feel comfortable continuing to work on your project

  • Fees for Services remain unpaid for greater than 5 days

You may discontinue participation at any time, subject to applicable refund policies.

 


 

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

Any and all disputes arising under these Terms will be resolved through binding arbitration or small claims court, unless prohibited by law. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration administered by American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.  The arbitration and resolution of the dispute shall be resolved by a single arbitrator appointed by the AAA pursuant to AAA rules. The arbitrator shall supply a written opinion supporting any award, and judgment on the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction. The arbitration shall be held in Chicago, IL and conducted in English. Notice of a demand to arbitrate a dispute by any party hereto shall be given in writing to the other parties hereto at their last known addresses. Arbitration shall be commenced by the filing by either party of an arbitration demand with the AAA. In the event that preliminary or permanent injunctive relief is necessary or desirable in order to prevent a party from acting contrary to this Agreement or to prevent irreparable harm prior to a confirmation of an arbitration award, then any party hereto is authorized and entitled to commence a lawsuit solely to obtain equitable relief against the other such parties pending the completion of the arbitration in a court having jurisdiction over those parties. Class actions are waived to the fullest extent permitted. 

Either party may bring an individual action in small claims court in Chicago, IL if the claim falls within that court's jurisdiction and monetary limits, and stays in such court. If a claim is transferred, removed, or appealed from small claims court to a different court, it shall then be subject to arbitration, unless the parties agree otherwise in writing.

 


 

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with an updated effective date. Continued use of the Services after changes constitutes acceptance of the revised Terms.

1. Purpose and Scope

This Data Protection & Security Policy describes how KOH Scholars collects, stores, protects, accesses, and retains student and family information. The policy applies to all data handled through KOH Scholars programs, including:

  • Student and parent/guardian registration information

  • Academic records and coaching session notes

  • Communications and scheduling information

  • Payment and account information (handled through authorized third-party processors)

This policy applies to all employees, coaches, contractors, and authorized service providers who access program data.

KOH Scholars protects student data based on the following principles:

  • Payment information (processed only through secure third-party providers; not stored directly by KOH Scholars)

KOH Scholars does not request or store unnecessary sensitive personal information.

Student data is stored in secure, access-controlled systems that use industry-standard safeguards, including:

  • Encrypted data storage for systems containing personal information

  • Encrypted transmission (HTTPS/TLS) for online communications and portals

  • Role-based access controls limiting who may view or modify data

  • Strong authentication and password standards for staff and contractors

  • Vendor security reviews for approved third-party platforms

  • Regular backups and system monitoring to protect against loss or unauthorized access

No data is stored on unsecured personal devices or outside approved systems.

 


 

5. Access to Student Data

Access to student information is limited to individuals who require it for legitimate program purposes, including:

  • Program administrators

  • Assigned coaches or mentors

  • Limited operations and support personnel

Access is governed by least-privilege principles and reviewed periodically.

Coaches and staff must:

  • Use program systems only for work-related purposes

  • Refrain from downloading or exporting student data unless necessary and authorized

  • Report suspected unauthorized access immediately

Unauthorized access, sharing, or misuse of data is strictly prohibited and may result in disciplinary action or termination.

 


 

6. Data Sharing & Third-Party Services

KOH Scholars may share limited data with trusted third-party service providers for operational purposes (such as scheduling, communications, and payment processing).

All service providers must:

  • Use data only for contracted purposes

  • Maintain appropriate security controls

KOH Scholars does not sell or rent student data to third parties.

Data is retained only for as long as necessary to support educational services, business operations, and legal or contractual obligations.

Standard retention practices include:

  • Active program records — retained for the duration of enrollment

  • Coaching notes and session records — retained for a limited administrative period after program completion

  • Financial records — retained in accordance with accounting and legal requirements

Upon reasonable request from a parent/guardian or eligible student, KOH Scholars will:

  • Review, update, or correct stored information, or

  • Delete records that are no longer required to be retained

Certain records may be retained where required by law or regulatory obligation.

 


 

8. Incident Response & Breach Reporting

KOH Scholars maintains procedures to respond to potential security incidents, including:

  • Prompt investigation of suspected unauthorized access or data loss

  • Containment and remediation of affected systems

  • Documentation of incident details and corrective action

  • Notification to affected individuals and applicable parties when required by law

All staff must immediately report suspected security incidents to program leadership.

 


 

9. Training & Accountability

All KOH Scholars personnel with access to student information receive guidance on:

  • Privacy and confidentiality expectations

  • Secure handling of digital information

  • Reporting obligations and incident response procedures

Failure to follow this policy may result in disciplinary action, up to and including termination or contract removal.

 


 

10. Policy Review & Updates

KOH Scholars and KOH Investment Group LLC review this policy periodically to reflect evolving program practices, technology safeguards, and legal requirements. The most current version will be considered the governing policy.

When you visit our website, we may collect:

  • IP address, device identifiers, browser and operating system

  • Pages viewed, referring URLs, and usage analytics

  • Cookie and similar technology data used for functionality, security, and performance

You may restrict optional cookies via browser or device settings; some features may not function properly.

 


 

3. Video Sessions and Educational Interactions

The Services include live virtual mentoring sessions delivered through reputable third-party video platforms.

We may collect session-level information (such as date, duration, and participants) for program administration, quality assurance, and safety.

We do not record student sessions unless:

  1. we provide advance notice, and

  2. a parent or guardian (for minors) provides consent.

Parents may request access to, restriction of, or deletion of recorded content where applicable and legally permitted.

  • Match students with mentors and support program delivery

  • Communicate with students and families regarding scheduling and progress

5. How We Share Personal Information

  • Law enforcement – where required by law or to protect individuals or our Services

  • Third-party businesses – in connection with a merger, acquisition, or restructuring, consistent with applicable law

We do not sell personal information and do not share personal information for cross-context behavioral advertising.

We may use aggregated or de-identified information for research, reporting, and service improvement, provided it cannot reasonably identify an individual.

 


 

6. Children Under 13 (U.S.)


  • Our Services are not intended for children under 13 and we do not knowingly collect personal information from children under 13.

  • If we learn that information was collected from a child under 13, even with verifiable parental consent, we will delete it promptly.



 


 

7. Parent, Guardian, and Student Rights

Parents/guardians and eligible students may:

  • Access, update, or correct account or profile information

  • Request deletion of Services-related personal information (subject to legal retention requirements)

  • Opt out of marketing communications

  • Standard Contractual Clauses (SCCs) and/or UK Addendum/IDTA

  • Contractual, organizational, and security controls with service providers

12. European Union / EEA / United Kingdom (GDPR / UK GDPR)

For individuals in the EU/EEA/UK, KOH Investment Group LLC acts as a data controller for personal data processed in connection with the Services.

  • Performance of a contract

  • Consent (including parental consent, where required)

  • Legitimate interests (program administration, safety, security, and improvement)

  • Legal obligation

Where processing is based on consent, you may withdraw consent at any time.

Subject to applicable law, you have the right to:
